Football NSW General Meeting – Special Resolution outcomes

On Monday, 19 December 2022, Football NSW conducted a General Meeting at Valentine Sports Park to consider and vote on proposed amendments to the Constitution via two special resolutions.

Those amendments were put forward by the Board of Football NSW after a significant and detailed review and consultation process undertaken in relation to the Constitution and governance of Football NSW.

The amendments under Special Resolution 1 related to a range of Board related matters and other general/housekeeping matters, which can be viewed in further detail on pages 18, and 21 to 31 in the Summary of Proposed Reforms document.

The amendments under Special Resolution 2 related to matters affecting the membership structure and voting rights of members, including the replacement of Standing Committees with Advisory Committees. These proposed amendments can be viewed on pages 10 to 16 in the Summary document.

In order for Special Resolution 1 to be approved, it required the support of at least 75% of members entitled to vote at the General Meeting.  Special Resolution 1 did not attain the required support.

In order for Special Resolution 2 to be approved, it required the support of at least 75% of members entitled to vote at the General Meeting and 75% support from each of our two classes of members (Zone Council Members [i.e. Associations, Branches and the two Inter-Club Zone Councils] and Standing Committee Members).  While Special Resolution 2 received the required support from the Standing Committee Members, it did not receive the required overall support from voting members at the General Meeting or the required support of the Zone Council Members.

The Board will continue to engage with the members of Football NSW on how we can make substantive changes and improvements to our governance structures in the new year.
